1. Introduction
These Terms and Conditions (“Terms”) govern the use of the TM/T platform (“Platform”, “Service”), a SaaS solution dedicated to project management, financial monitoring, forecasting, and operational management for service companies.
By accessing or using TM/T, the customer (“Customer”, “User”) agrees to be bound by these Terms.
2. Service Description
TM/T is a cloud-based software platform providing features including, but not limited to:
Project management
Resource management
Financial tracking
Forecasting and reporting
Time and activity monitoring
Team collaboration tools
Administrative dashboards
TM/T reserves the right to improve, modify, or discontinue certain features at any time.
3. Account Registration
To use the Service, the Customer must:
Provide accurate and complete information
Maintain the confidentiality of login credentials
Be responsible for all activities performed under their account
The Customer is solely responsible for managing user access within their organization.
4. Subscription and Billing
4.1 Subscription
Access to TM/T is provided on a subscription basis.
Subscription plans, pricing, and included features are defined in the applicable commercial offer or order form.
4.2 Billing
The Customer agrees to provide accurate billing information, including:
Company name
Tax or identification number
Billing address
Contact information
Invoices are issued according to the agreed billing cycle.
4.3 Late Payments
TM/T reserves the right to suspend access to the Service in case of unpaid invoices after reasonable notice.
5. Usage Policy
The Customer agrees not to:
Use the Service for unlawful purposes
Attempt unauthorized access to the Platform
Interfere with the security or integrity of the Service
Upload malicious software or harmful content
Resell or redistribute the Service without authorization
TM/T may suspend accounts violating these Terms.
6. Customer Data and Privacy
6.1 Data Ownership
All Customer data remains the exclusive property of the Customer.
TM/T does not claim ownership of Customer content or business data.
6.2 Data Access
TM/T personnel do not access Customer business data except when strictly necessary for:
Technical support
Maintenance operations
Legal obligations
6.3 Data Collection
TM/T only collects application usage and technical monitoring data necessary for operating and improving the Service.
TM/T does not use Customer business data for commercial or marketing purposes.
7. Availability and Support
TM/T aims to provide high service availability but does not guarantee uninterrupted access.
Maintenance operations, updates, or external incidents may temporarily affect availability.
Support services are provided according to the subscribed support level.
8. Intellectual Property
All intellectual property rights related to TM/T, including software, branding, interfaces, documentation, and technologies, remain the exclusive property of TM/T or its licensors.
The Customer receives a limited, non-exclusive, non-transferable right to use the Service during the subscription period.
9. Limitation of Liability
To the maximum extent permitted by law:
TM/T shall not be liable for indirect, incidental, or consequential damages
TM/T’s total liability shall not exceed the amount paid by the Customer during the previous 12 months
The Customer remains responsible for verifying and backing up their data
10. Termination
Either party may terminate the subscription according to the agreed contractual conditions.
TM/T may suspend or terminate access immediately in case of:
Breach of these Terms
Fraudulent or illegal activities
Security risks
Upon termination, Customer access may be disabled after a retention period.
11. Confidentiality
Both parties agree to maintain the confidentiality of all non-public business, technical, and financial information exchanged during the use of the Service.
12. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws and regulations of the Republic of Tunisia.
Any dispute arising from or related to the use of the TM/T platform shall fall under the jurisdiction of the competent courts of Tunisia unless otherwise agreed in writing between the parties.
13. Modifications
TM/T reserves the right to update these Terms at any time.
Customers will be notified of material changes through the Platform or via email.
Continued use of the Service after such updates constitutes acceptance of the revised Terms.
